Terms of Service and Subscriber Terms
Tasafy
Tasafy offers cloud-based real estate appraisal management and execution software, including a mobile application (collectively, the “Service”) and websites, including but not limited to www.tasafy.com, www.tasafy.app and www.mobile.tasafy.app (the “Websites”).
These Terms of Use govern your use of our service. For the purposes of these Terms of Use, “Tasafy service”, “our service” or “the service” means the customized service provided by Tasafy for the management and performance of real estate appraisals and valuations, including all features and functionality, recommendations and reviews, the website and user interfaces, and all content and software associated with our service.
- Subscription
- 1.1. Your subscription to Tasafy will continue until its conclusion. To use Tasafy’s service, you must have Internet access and a Tasafy compatible device, and provide us with one or more payment methods. “Payment Method” means an accepted, valid and current payment method, which you may update at your discretion and which may include payment through your third party account. Unless you cancel your subscription prior to the billing date, you authorize us to charge the subscription fee for the next billing cycle to your Payment Method (see “Cancellation” below).
- 1.2. On certain occasions, we present you with various subscription plans. Some subscription plans may have different conditions and limitations, which will be disclosed at the time of registration or in other communications that you may consult. You can find specific details about your Tasafy subscription by visiting our website and clicking on the “Account” link available at the top of the pages, below your profile name.
- Promotional offers
From time to time, we offer you special promotions, plans or subscriptions (“Offers”). Tasafy determines whether you meet the eligibility requirements for the Offers in its sole discretion, and we reserve the right to void the Offer and block your account if we determine that you do not meet the eligibility requirements. We may use information such as device identifiers, payment method or email address of an account used with an existing or recent Tasafy subscription to determine the user’s eligibility for the Offer. Eligibility requirements and other limitations and conditions will be set forth when you register for the Offering or in other communications available to you.
- Trial Subscriptions
Customer may access a trial version of the Service (“Trial”) subject to the terms of this Agreement, however, the following additional terms shall apply to your Trial notwithstanding anything stated herein: (a) Tasafy shall have the right to terminate a Trial at any time and for any reason; (b) Tasafy shall provide the Service “as is” and shall make no warranties (express or implied) of any kind with respect to the Service during the Trial; and (c) Tasafy shall have no obligation to indemnify Customer. Tasafy will not ask for payment method data until the end of the trial period, at which time you will be informed of the end of the trial period, and you can continue with your subscription by entering a payment method.
If on the last day of the trial period the customer has not entered any payment method, his subscription will be cancelled immediately.
- Invoicing and cancellation
- 4.1. Billing cycle. The Tasafy service subscription fee will be charged to your Payment Method on the payment date indicated on the “Account” page. The length of your billing cycle will depend on the type of subscription you chose when you signed up for the service. In some cases, the billing date may change, such as if your Payment Method has not been set up correctly, if you have changed your subscription plan, or if your paid subscription started on a non-existent day in a given month. Visit our website and click on the “Account Settings” link on the to check the date of your next payment.
- 4.2. Methods of payment. To use Tasafy’s service you must provide one or more Payment Methods. If your primary Payment Method is declined or is no longer available for us to charge your subscription fee, you authorize us to charge you through any other Payment Method associated with your account. You will remain responsible for any uncollected amounts. If we are unable to collect an amount (for reasons such as expiration of your Payment Method, insufficient funds or any other cause) and you do not cancel your account, we may suspend your access to the service until we have collected the debt through a valid Payment Method. The issuer of some Payment Methods may charge you certain fees for items such as a foreign currency transaction or other charges related to the processing of your Payment Method. Local tax charges may vary depending on the method of payment used. Check with your Payment Method service provider for details.
- 4.3. Changing your Payment Methods. You can modify your Payment Methods at the top of your account under the “Account Settings” icon. We may also modify your Payment Methods according to the data provided by the payment service providers. After each modification, you authorize us to continue to charge you through the relevant Payment Method(s).
- 4.4. Cancellation. You can cancel your Tasafy subscription at any time, and you will continue to have access to the Tasafy service until the end of your billing period, which will correspond to the end of the current month. Payments are non-refundable and we do not provide refunds or credits for partial subscription periods or for unviewed Tasafy content. To cancel your subscription, please send an email to soporte@tasafy.com. If you cancel your subscription, your account will be automatically closed at the end of your current billing period.
- 4.5. Changes in prices and subscription plans. We may change our subscription plans and pricing at any time. However, no change in price or your subscription plans will take effect prior to 30 days from our notification.
- Tasafy service and contents
- 5.1. To subscribe to Tasafy’s service you must be at least 18 years old. Minors may only use the service under the supervision and responsibility of an adult.
- 5.2. Tasafy’s service is for your personal and non-commercial use. During your subscription to Tasafy, we grant you a limited, non-exclusive and non-transferable right to access the Tasafy service and work on the tool. Except as mentioned above, no right, title or benefit will be transferred to you.
- 5.3. The individual plan allows the use of one license, linked by e-mail to one user. For the use of more than one user, the team plan must be contracted.
- 5.4. You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or (except as expressly authorized in these Terms of Use) use any content or information contained in or obtained through or on the Tasafy service. You also agree not to circumvent, remove, alter, disable, downgrade or impair any of the content protections of the Tasafy service; not to use any robot, spider, scraper or other automated means to access the Tasafy service; not to decompile, reverse engineer or disassemble any software or other products or processes accessible from the Tasafy service; not to introduce any code or products or tamper with the contents of the Tasafy service in any way; and not to use any method of searching, gathering or extracting data. You further agree not to upload, post, email or otherwise transmit by any means any material designed to interrupt, destroy or limit the functionality of any software, hardware or telecommunications equipment associated with the Tasafy service, such as computer viruses or other computer code, files or programs. We may terminate or restrict your use of our service if you violate these Terms of Use or if you engage in illegal or fraudulent use of the service.
- 5.5. The quality of Tasafy’s service may vary depending on the device, and may be affected by several factors, such as your location, available bandwidth and/or the speed of your Internet connection. You are responsible for all Internet connection charges. Check with your Internet provider for information on possible Internet data usage charges. The time it takes for Tasafy to load varies depending on several factors, including your location, the bandwidth available at the time, the content you have selected and the configuration of your Tasafy-enabled device.
- 5.6. Tasafy software has been developed by Tasafy, or for Tasafy, and may only be used for the effects defined by Tasafy. This software may vary by device and carrier, and its functions may also differ between devices. You acknowledge that use of the service may require third party software subject to licenses from such third parties. You agree that you may automatically receive updated versions of Tasafy software and related third party software.
- 5.7. User Content and Service Requests. The service allows you to create appraisal files and to manage and execute them, as well as to create external participants for the completion of your files and to share that Content with other users. User Content submitted or made available on the Service is subject to the following terms:
- 5.7.1. Free User Content. Free Users retain ownership of the User Content they submit to the Service (“Free User Content”). By submitting Free User Content, Free Users grant Tasafy a license to access, use, copy, reproduce, process, adapt, publish, transmit and publicly communicate the Free User Content, as permitted by Tasafy’s Privacy Policy, including as required by law or in good faith to comply with legal process. We reserve the right to remove any Free User Content hosted on the Service that violates these Terms or is otherwise objectionable in Tasafy’s sole discretion.
- 5.7.2 Subscriber User Content in the Service. Content submitted to the Service by Subscribers (“Subscriber User Content”) is owned and controlled by Customer. Tasafy maintains a limited, non-exclusive, non-transferable license (except in connection with the sale or transfer of its business) to access, use, copy, reproduce, process, adapt, publish, transmit, host, and publicly communicate Subscriber User Content for the following limited purposes: (i) to maintain, provide and improve the Service; (ii) to prevent or resolve technical or security problems and to resolve support requests; (iii) investigate in good faith, or through a claim, that such Content violates the Customer Agreement or these Terms; (iv) to comply with a valid legal subpoena, request or other legal process that complies with the requirements of the Customer Agreement and our Regulatory Enforcement Guidelines; and (v) as set forth in our Agreement with Customer or as expressly permitted in writing by Customer.
- 5.8. Comments on Websites. The Websites may have certain features that allow you to submit comments, information and other materials (collectively, “Feedback”) to Tasafy and to share such Feedback with other users or the public. By submitting Feedback through the Websites, you grant Tasafy a license to access, use, copy, reproduce, process, adapt, publish, transmit, host, and publicly communicate the Feedback for any purpose (including in testimonials or other Tasafy marketing materials) and where required to comply with regulations or in good faith to comply with legal process. We reserve the right to remove any comments posted in public forums for any reason at our sole discretion.
- 5.9. Representations of User Content and Comments. You acknowledge and agree that you have all rights required to submit User Content and Comments without violating the rights of third parties. You understand that Tasafy does not control, and is not responsible for, User Content or Comments, and that by using the Service and/or the Websites, you may be exposed to User Content or Comments of other users that is offensive, indecent, inaccurate, misleading, deceptive, or otherwise objectionable. Please also note that User Content and Comments may contain typographical errors, other inadvertent errors or inaccuracies. You agree that you will indemnify, defend and hold harmless Tasafy for all claims arising from User Content or Comments you submit through the Service and/or the Websites. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event, you will cooperate with us in asserting any available defenses.
- Passwords and account access
The subscriber who has created the Tasafy account and in whose Payment Method the fees are charged (the “Account Holder”) is responsible for the activity conducted through such Tasafy account. In order to maintain control over the account and prevent anyone from accessing the account (which would include account viewing history information), the Account Holder shall maintain control of all Tasafy compatible devices used to access the service and shall not disclose the password or Payment Method details associated with such account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide about your account. We may terminate or block your account to protect you, Tasafy or our partners from identity theft or other fraudulent activity.
- Miscellaneous Provisions
- Applicable legislation. These Terms of Use shall be governed by and construed in accordance with the laws of Spain.
- Unsolicited materials. Tasafy does not accept unsolicited materials or ideas for content from Tasafy, and is not responsible for the resemblance of any of its content or programming in any medium to materials or ideas submitted to Tasafy.
- 7.3. Customer service. For more information about our service and your options, or if you need help with your account, please visit the Tasafy Help Center on our website. In certain cases, Customer Service can provide you with better assistance through a remote access support tool through which we have full access to your computer. If you do not wish us to have this access, you must not consent to assistance through the remote access tool, in which case we will assist you by other means.
- Subsistence. If any provision or provisions of these Terms of Use are declared invalid, illegal or ineffective, the validity, legality and effectiveness of the remaining provisions shall remain in full force and effect.
- 7.5. Changes to the Terms of Use. Tasafy may change these Terms of Use from time to time. We will give you at least 30 days’ notice before these changes affect you.
- 7.6. Electronic communications. We will send you information about your account (payment authorizations, invoices, changes to your password or Payment Method, confirmation messages, notices, etc.) only in electronic format, e.g., via e-mail to the e-mail address you provided when you registered.
